End User License Agreement –
AutoQuote QuickBooks Integration Dean Infotech Pvt. Ltd.

This End User License Agreement (“Agreement” or “EULA”) governs your access to and use of the QuickBooks integration and related invoice management functionality provided by Dean Infotech Private Limited (“Dean Infotech,” “we,” “us,” or “our”) through AutoQuote (“AutoQuote,” “Application,” or “Service”).

By connecting your QuickBooks account with AutoQuote, authorizing access to your QuickBooks data, or using the QuickBooks integration features, you acknowledge that you have read, understood, and agreed to this Agreement.

If you do not agree with these terms, you must not connect or use the AutoQuote QuickBooks integration.

1. About the QuickBooks Integration

AutoQuote provides functionality that enables users to connect their AutoQuote account with QuickBooks Online and exchange certain business and invoice-related information between the two services.

The integration is designed to help users streamline their quoting and invoice management processes by allowing supported information to be transferred between AutoQuote and QuickBooks.

• Depending on the configuration and features available to your account, the integration may support:
  • - Connecting your QuickBooks Online account with AutoQuote.
  • - Transferring supported customer and transaction information between AutoQuote and QuickBooks.
  • - Creating or synchronizing invoices using supported AutoQuote and QuickBooks functionality.
  • - Managing invoice-related information from within AutoQuote.
  • - Updating or synchronizing invoice information between connected systems.
  • - Maintaining invoice and transaction status information where supported.
  • - Reducing manual data entry between AutoQuote and QuickBooks.

The specific functionality available may change over time as AutoQuote, QuickBooks, or their respective APIs and services are updated.

2. Relationship with QuickBooks and Intuit

AutoQuote is a third-party application developed and operated by Dean Infotech.

Dean Infotech is not Intuit Inc. and is not QuickBooks.

QuickBooks and related QuickBooks trademarks, names, products, and services are owned by Intuit Inc. or its applicable affiliates.

Your use of QuickBooks is separately governed by the applicable QuickBooks and Intuit terms and conditions. You are responsible for reviewing and complying with those terms.

Connecting QuickBooks to AutoQuote does not transfer ownership of your QuickBooks account to Dean Infotech.

Intuit may change, suspend, restrict, or discontinue its APIs, integration capabilities, data-access permissions, or other services. Such changes may affect the functionality or availability of the AutoQuote QuickBooks integration.

For current QuickBooks terms, please refer to the applicable terms published by Intuit.

3. License to Use the Integration

Subject to your compliance with this Agreement and any applicable AutoQuote subscription terms, Dean Infotech grants you a limited, non-exclusive, non-transferable, revocable right to access and use the QuickBooks integration solely for your legitimate business purposes.

You may not:

• - Copy, reproduce, modify, or create derivative works of the integration.
• - Reverse engineer, decompile, disassemble, or attempt to discover the source code of the integration.
• - Circumvent technical restrictions or security controls.
• - Use the integration to access data belonging to another person or organization without authorization.
• - Use the integration for unlawful, fraudulent, or abusive activities.
• - Interfere with the operation, security, or availability of AutoQuote or its integration services.
• - Use the integration in a manner that violates applicable QuickBooks, Intuit, or third-party terms.

4. QuickBooks Account Authorization

To use the integration, you must authorize AutoQuote to connect with your QuickBooks account.

You represent and warrant that:

• - You have the legal authority to connect the QuickBooks account.
• - You have permission to authorize access to the QuickBooks data made available through the integration.
• - The information and permissions you provide are accurate.
• - You will not authorize AutoQuote to access an account without the account owner's permission.

The permissions granted to AutoQuote determine what information the integration can access or exchange.

You may disconnect or revoke the QuickBooks connection through the available QuickBooks or AutoQuote account controls, subject to applicable technical limitations.

5. Data Access and Use

When you authorize the integration, AutoQuote may access certain QuickBooks information necessary to provide the integration functionality.

Depending on the features you use, this may include information such as:

• - Customer or company information.
• - Contact information.
• - Invoice information.
• - Invoice numbers and dates.
• - Products or services associated with invoices.
• - Amounts, taxes, discounts, and totals.
• - Payment or invoice status information.
• Other information necessary to perform an authorized integration function.

Dean Infotech will use such information to provide, maintain, secure, troubleshoot, and improve the AutoQuote integration, subject to applicable law and our Privacy Policy.

You remain responsible for ensuring that you have the necessary rights, permissions, and consents to provide data to AutoQuote and to authorize its transfer between AutoQuote and QuickBooks.

6. Invoice Management

AutoQuote may provide functionality that allows users to create, synchronize, update, or manage invoices through the integration with QuickBooks.

You acknowledge that:

• - You are responsible for reviewing invoice information before relying on it.
• - You are responsible for the accuracy of customer, product, pricing, tax, discount, payment, and other financial information entered into or transferred through the integration.
• - AutoQuote does not provide accounting, tax, legal, or financial advice.
• - You are responsible for ensuring that invoices comply with applicable laws, regulations, and accounting requirements.
• - You should verify important financial information in QuickBooks or with your accounting professional.

AutoQuote is an automation and integration tool and should not be treated as a substitute for professional accounting or tax advice.

7. Data Synchronization

The integration may synchronize information between AutoQuote and QuickBooks.

Synchronization may be affected by:

• - API availability.
• - API limitations or rate limits.
• - Changes made to records in either system.
• - Network connectivity.
• - Authentication or authorization failures.
• - Changes to QuickBooks functionality.
• - Changes to AutoQuote functionality.
• - Temporary service interruptions.
• - Incorrect or incomplete source data.

8. User Responsibilities

You are responsible for:

• - Maintaining the security of your AutoQuote and QuickBooks accounts.
• - Protecting your login credentials.
• - Providing accurate information.
• - Maintaining appropriate permissions for users who access the integration.
• - Reviewing data transferred between systems.
• - Maintaining appropriate backups where necessary.
• - Ensuring that your use of the integration complies with applicable laws and regulations.
• - Ensuring that your use of QuickBooks complies with applicable Intuit terms.

You must notify Dean Infotech if you believe your account or integration credentials have been compromised.

9. Third-Party Services

The AutoQuote QuickBooks integration depends on third-party services, APIs, infrastructure, and platforms, including QuickBooks Online.

Dean Infotech does not control the availability, functionality, security, policies, or performance of third-party services.

Accordingly, Dean Infotech is not responsible for service interruptions, API changes, data-access restrictions, discontinued features, or other changes made by QuickBooks, Intuit, or other third-party providers.

Your use of QuickBooks remains subject to the terms and policies applicable to QuickBooks.

10. Availability and Changes to the Integration

We may modify, update, enhance, restrict, suspend, or discontinue portions of the AutoQuote QuickBooks integration from time to time.

Changes may be necessary because of:

• - Security requirements.
• - Product improvements.
• - API changes.
• - Changes in third-party requirements.
• - Regulatory requirements.
• - Technical limitations.
• - Business or operational considerations.

Where reasonably practicable, we may provide notice of material changes.

We do not guarantee that every feature will remain available indefinitely.

11. Security

Dean Infotech takes reasonable technical and organizational measures designed to protect information processed through AutoQuote.

However, no electronic transmission, storage system, or third-party integration can be guaranteed to be completely secure.

You acknowledge that you use the integration at your own risk and are responsible for maintaining appropriate security practices for your accounts and systems.

12. Privacy

Your use of AutoQuote and the QuickBooks integration is also subject to our Privacy Policy.

Our Privacy Policy explains how we collect, use, store, and protect information associated with your use of AutoQuote.

You should also review the privacy policies and terms applicable to QuickBooks and any other third-party service you connect to AutoQuote.

13. Intellectual Property

AutoQuote, including its software, interface, features, documentation, design, branding, and underlying technology, is owned by or licensed to Dean Infotech and is protected by applicable intellectual property laws.

Except for the limited license expressly granted under this Agreement, no rights are transferred to you.

QuickBooks and Intuit trademarks and intellectual property remain the property of their respective owners.

Nothing in this Agreement grants you ownership of any QuickBooks or Intuit intellectual property.

14. Disclaimer of Warranties

To the maximum extent permitted by applicable law, the AutoQuote QuickBooks integration is provided on an “AS IS” and “AS AVAILABLE” basis.

Dean Infotech does not guarantee that:

• - The integration will always be available.
• - The integration will operate without interruption.
• - Data synchronization will always be successful or immediate.
• - Information transferred between systems will always be complete or error-free.
• - The integration will meet every user's particular requirements.
• - Third-party services, including QuickBooks, will remain available or compatible with the integration.

You are responsible for verifying important business, financial, accounting, tax, and invoice information.

15. Limitation of Liability

To the maximum extent permitted by applicable law, Dean Infotech shall not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to your use of the AutoQuote QuickBooks integration.

This includes, without limitation, losses resulting from:

• - Loss or corruption of data.
• - Incorrect or incomplete synchronization.
• - Business interruption.
• - Loss of revenue or profits.
• - Third-party service outages.
• - QuickBooks or API changes.
• - Unauthorized access resulting from compromised user credentials.
• - Reliance on invoice or financial information without appropriate verification.

Nothing in this Agreement excludes or limits liability that cannot legally be excluded or limited under applicable law.

16. Indemnification

To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Dean Infotech and its affiliates, officers, employees, and representatives from claims, damages, liabilities, losses, and expenses arising from:

• - Your unauthorized use of the integration.
• - Your violation of this Agreement.
• - Your violation of applicable laws or third-party rights.
• - Your unauthorized access to another person's or organization's data.
• - Your misuse of QuickBooks or AutoQuote.

17. Suspension and Termination

Dean Infotech may suspend or terminate your access to the QuickBooks integration if:

• - You violate this Agreement.
• - Your AutoQuote subscription is terminated or expires.
• - Your use creates a security or legal risk.
• - Your QuickBooks authorization is revoked.
• - Continued access is no longer technically or commercially feasible.
• - The integration is discontinued.

You may stop using the integration at any time by disconnecting your QuickBooks account and ceasing use of the applicable AutoQuote functionality.

Termination of the integration does not automatically terminate your QuickBooks account or your separate agreement with Intuit.

18. Effect of Termination

After termination or disconnection, AutoQuote will no longer access QuickBooks data through the revoked connection, subject to technical processing requirements and applicable legal obligations.

Information already stored in AutoQuote may continue to be retained in accordance with our Privacy Policy, contractual obligations, legal requirements, and applicable data-retention policies.

You remain responsible for retrieving or exporting any information you need before terminating your AutoQuote account or integration where such functionality is available.

19. Updates to This Agreement

Dean Infotech may update this Agreement from time to time.

When changes are made, we may update the “Last Updated” date and, where appropriate, provide notice through AutoQuote or other reasonable means.

Your continued use of the QuickBooks integration after the updated Agreement becomes effective constitutes acceptance of the revised terms, to the extent permitted by applicable law.

20. Governing Law

This Agreement shall be governed by and interpreted in accordance with the laws of state of Haryana, India, without regard to its conflict-of-law principles.

Any disputes arising from or relating to this Agreement shall be subject to the jurisdiction of the courts located in Faridabad, Haryana, India, unless otherwise required by applicable law.

Note: Dean Infotech should have its legal counsel confirm the appropriate governing law and jurisdiction before publishing this section.

21. Entire Agreement

This Agreement, together with the applicable AutoQuote Terms of Service, Privacy Policy, and any other terms expressly incorporated by reference, constitutes the agreement between you and Dean Infotech regarding your use of the AutoQuote QuickBooks integration.

If there is a conflict between this Agreement and another applicable AutoQuote agreement, the terms specified in that agreement will control to the extent stated therein.
